Terms of Service
These Terms of Service (“Terms”) govern access to and use of websites, demos, and software-as-a-service products offered by Sawbuck Software LLC (“Sawbuck,” “we,” “us,” or “our”). By creating an account, completing enrollment, or using our services, you agree to these Terms.
1. The services
Sawbuck provides browser-based business software and related marketing sites, documentation, demos, and support. Features, pricing, and availability may change. Some products may be offered as demos, trials, or paid subscriptions.
2. Eligibility and accounts
- You must be able to form a binding contract and provide accurate registration information.
- You are responsible for safeguarding credentials and for activity under your account.
- You must not share login credentials in a way that defeats per-user authentication or 2FA.
- We may suspend or terminate accounts that are inaccurate, abusive, unpaid, or insecure.
3. Subscriptions and billing
- Paid plans are billed according to the product enrollment page, checkout flow, or order form you accept at signup.
- Unless a specific promotion states otherwise, Sawbuck products use a flat monthly base subscription per product (currently $20.00 per month per selected product, as shown on the enrollment page) plus metered sync charges for write operations that update records in our systems (currently $0.01 per operation, billed in arrears where disclosed).
- Subscriptions are month-to-month only. Sawbuck does not offer annual prepaid subscription plans on the public enrollment flow. You are billed per monthly billing period (plus metered sync where disclosed), not for a year up front.
- Card processing fees for subscription billing, if any, may be passed through at cost as described at enrollment.
- There is no long-term contract unless you separately agree to one in writing. You may cancel from within your account settings where available; cancellation stops future base charges according to the billing cycle in effect.
- Unless stated otherwise, subscriptions renew automatically each billing period until canceled.
- Taxes may apply. Failed payments may result in suspension after any grace period we provide.
- Except where required by law or expressly stated at purchase, fees are non-refundable for periods already commenced.
Enrollment and recurring billing are processed through our systems using Stripe for payment instruments. The pricing and product selections you accept on the enrollment page govern your subscription.
4. Acceptable use
You agree not to:
- Violate law, privacy rights, or third-party intellectual property rights.
- Probe, scan, or attack our systems; bypass security or rate limits; or reverse engineer the services except where law prohibits that restriction.
- Send spam, unlawful SMS/email, or use our messaging features for unsolicited marketing.
- Upload malware or content that is illegal, harmful, or infringing.
- Resell or provide the services to third parties except as expressly allowed in writing.
5. Customer data and privacy
You retain ownership of data you submit to the products (“Customer Data”). You grant Sawbuck a limited license to host, process, transmit, and display Customer Data solely to provide and secure the services. Our collection and use of personal information is described in our Privacy Policy.
6. SMS and communications
By providing a phone number for account security or product features, you consent to receive SMS messages such as verification codes and service notices. Message frequency varies. Message and data rates may apply. Reply STOP to opt out; reply HELP for help. Email and in-product notices may also be used for transactional and security communications.
7. Intellectual property
Sawbuck and its licensors own the services, software, branding, documentation, and related IP. We grant you a limited, non-exclusive, non-transferable right to access and use the services during your active subscription, solely for your internal business purposes.
8. Third-party services
We use third-party providers to operate the services. Their terms and privacy practices apply to their services. We are not responsible for third-party outages or acts outside our reasonable control. Current categories include:
- Stripe — payment processing for enrollments and subscriptions.
- Railway — hosting for production product applications and databases.
- Vercel — hosting for our marketing website and demo environments.
- Email and SMS providers — delivery of transactional and security messages on our instructions.

9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAWBUCK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAWBUCK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO SAWBUCK FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
11. Indemnity
You will defend and indemnify Sawbuck against claims, damages, and expenses arising from your Customer Data, your misuse of the services, or your violation of these Terms or applicable law.
12. Suspension and termination
Either party may terminate a subscription as described in the applicable product or billing terms. We may suspend or terminate immediately for non-payment, security risk, or material breach. After termination, your right to access the services ends. We may delete Customer Data after a commercially reasonable retention period, subject to legal holds and backups.
13. Governing law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Exclusive venue for disputes that are not resolved informally is the state or federal courts located in Clark County, Nevada, unless applicable law requires otherwise.
14. Changes
We may update these Terms from time to time. The version date above will change when we do. Continued use after material updates, once posted or notified, constitutes acceptance of the updated Terms where permitted by law. If you do not agree, stop using the services and cancel your subscription.
